Clear terms for using the site and buying KRS work.

These terms explain the working agreement for the KRS website, fixed-scope products, and professional services.

1. Agreement and who these terms cover

These Business Terms are an agreement between the customer or website visitor (“you”) and Koenen Revenue Systems, operated by Vadim Koenen (“KRS,” “we,” “us,” or “our”). They apply to vadimkoenen.com, KRS fixed-scope products, and KRS professional services unless a separate written agreement says otherwise.

By using the site, applying for a product, accepting a payment link, or purchasing services, you confirm that you are at least 18 years old and have authority to act for yourself or the organization you represent.

If a signed statement of work or other written agreement conflicts with these terms, the signed agreement controls for that engagement.

2. Services and scope

KRS provides independent revenue-systems consulting, audits, decision specifications, documentation, and related professional services. The page, proposal, intake confirmation, or statement of work for a purchase defines the included deliverables, assumptions, caps, timing, and exclusions.

Work outside the published or agreed scope requires written approval and may require a separate fee, schedule, or engagement. KRS may decline an application before payment when the requested work does not fit the stated scope.

3. HubSpot Lifecycle & Routing Blueprint

The founding Blueprint is a bounded decision specification for one HubSpot Contact lifecycle and routing path. Its published scope includes the deliverables and caps described on the product page.

  • The Blueprint is based on information and first-party documentation supplied by the customer.
  • KRS does not need or request production portal credentials for this product.
  • Implementation, production configuration, custom code, and the separate Rescue service are not included.
  • The sample is fictional and illustrative. It is not a client result.
  • Portal validation is required before implementation.

4. Payment, prices, and taxes

Prices are stated in U.S. dollars unless the purchase page says otherwise. Fixed-scope products are paid in full through Stripe before work begins. KRS does not receive or store the full payment-card number.

You are responsible for applicable taxes, duties, or similar charges that are not included in the stated price. Stripe or another payment processor may apply its own terms to the transaction.

5. Customer responsibilities

You agree to provide accurate, complete, and timely information; identify an authorized decision-maker; and disclose constraints that may affect the work. You are responsible for reviewing the deliverables, validating them against your licensed portal, user permissions, internal names, legal requirements, and live business rules, and authorizing any implementation.

Do not send passwords, payment-card data, Social Security numbers, protected health information, or other unnecessary sensitive data through an intake form or ordinary email.

6. Delivery target and correction round

For the founding Blueprint, the three-business-day period is a target that begins after written fit acceptance, payment, complete intake, and receipt of required clarifications. It is not a guaranteed deadline. KRS will communicate if missing information or an unexpected dependency changes the target.

The product includes one correction round for errors, omissions against the published scope, or clarification of the delivered specification. The request must be made within 14 calendar days after delivery. New requirements, additional objects, integrations, nested logic, or other scope expansion are not corrections.

7. Cancellation and refunds

No charge is made when KRS declines an application before payment. If KRS accepts payment but cannot provide the purchased service, KRS will refund the amount paid for the undelivered service.

You may request cancellation before work begins for a refund, less any nonrefundable processor fee that KRS cannot recover. After work begins, any refund will reflect the work already completed and any nonrecoverable costs, except where applicable law requires otherwise.

8. Ownership and permitted use

You retain ownership of the information and materials you provide. After full payment, you receive a perpetual, non-exclusive license to use, copy, and adapt the final engagement deliverables for your organization’s internal business purposes.

KRS retains ownership of pre-existing materials, general methods, know-how, templates, reusable components, and tools. KRS will not publish your confidential information or identify you as a customer without permission.

9. Confidentiality

Each party will use reasonable care to protect nonpublic information received from the other and will use it only to evaluate, perform, or support the engagement. This obligation does not cover information that is public through no breach, already lawfully known, independently developed, or lawfully received from another source.

A party may disclose information when required by law after giving notice when legally permitted.

10. No platform endorsement, warranty, or guaranteed outcome

KRS is an independent consultancy. References to HubSpot, Marketo, Salesforce, 6sense, or other platforms do not imply vendor endorsement or partnership.

Professional judgment and deliverables are based on the information available at the time. Except for the express commitments in these terms or a signed agreement, the site and services are provided “as is” to the fullest extent permitted by law. KRS does not guarantee revenue, conversion, compliance, platform approval, error-free implementation, or a particular business outcome.

Portal validation is required. The customer controls production access, testing, approvals, and deployment decisions.

11. Limitation of liability

To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, data, or business opportunity arising from the site or services.

KRS’s total liability arising from a purchased service will not exceed the amount paid to KRS for the service giving rise to the claim. These limits do not apply where applicable law does not allow them.

12. Acceptable website use and third-party services

You may use the site for lawful informational and business purposes. You may not interfere with its operation, attempt unauthorized access, introduce malicious code, scrape it in a way that materially burdens the service, or misuse KRS content or identity.

The site may link to third-party services such as Stripe, Calendly, HubSpot, or other platforms. Those services operate under their own terms and privacy practices, and KRS is not responsible for their independent operation.

13. Governing law and dispute process

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Before filing a claim, the parties agree to provide written notice and make a good-faith effort to resolve the dispute for at least 30 days.

If a dispute cannot be resolved, it may be brought in a court with jurisdiction in the county of KRS’s principal place of business, unless applicable law requires another forum.

14. Changes and general provisions

KRS may update these terms as the business or services change. The effective date at the top shows the current version. The version presented when a fixed-scope purchase is made will govern that purchase unless the parties agree otherwise in writing.

If a provision is unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will continue. A delay in enforcing a right is not a waiver of that right.
